Non-Disclosure Notice
By accessing or reviewing any materials produced or provided by BLUESTEM API INC. (hereinafter ‘Bluestem’) that are designated as confidential, you acknowledge and agree to the following terms:
Confidentiality Obligation
Any materials marked as “Confidential” or reasonably understood to be confidential in nature, whether disclosed electronically, in writing, or verbally, are proprietary to Bluestem and are disclosed solely for the intended purpose communicated by Bluestem. You agree to maintain the confidentiality of such materials and not disclose them to any third party without prior written consent from Bluestem.
Permitted Use
Confidential materials are provided for the sole purpose of enabling you to evaluate or perform activities expressly authorized by Bluestem. You agree not to use the materials for any other purpose, including but not limited to reverse engineering, competing with Bluestem, or any unauthorized commercial exploitation.
Protection of Information
You agree to take all reasonable measures to protect the confidentiality of the materials, including, but not limited to, securing physical and electronic access and limiting disclosure to only those individuals who have a legitimate need to know and are bound by similar confidentiality obligations.
Return and Destruction of Materials
Upon Bluestem’s request or upon the conclusion of the intended purpose for which the materials were disclosed, you agree to promptly return (where appropriate) and permanently destroy all confidential materials and any copies, summaries, or notes derived from them.
Non-Disclosure Term
The obligation to maintain confidentiality shall remain in effect in perpetuity and you acknowledge that the unauthorized disclosure of materials may result in irreparable harm to Bluestem.
Breach and Remedies
Unauthorized disclosure, misuse, or breach of these confidentiality provisions may result in legal action, including but not limited to injunctive relief, damages, or any other remedies available under applicable law.
Acknowledgment
By accessing or reviewing materials designated as confidential, you acknowledge your understanding and acceptance of these confidentiality provisions. If you do not agree to these terms, you must immediately cease accessing or reviewing the materials and notify Bluestem.
